Clear terms for working together

These Terms and Conditions apply when you use the Nexteio website, create an account, request a quote or order any of our services. By doing any of these, you agree to these terms. If you accept them for a company, you confirm that you have the authority to do so.

If you do not agree, please do not use the website or our services. Where a signed proposal or order includes different terms for a specific project, those project terms apply to that project.

The articles and guides on our website are general information to help you understand digital marketing and websites. They are not legal, financial or professional advice for your exact situation, and platform rules change often, so check current official guidance before you act on them.

When you use the website, you agree not to:

• Send spam, false enquiries or harmful code through our forms
• Try to access accounts, data or parts of the site that are not meant for you
• Copy our articles, designs or logo and publish them as your own

You are responsible for keeping your account password safe and for activity under your account. We may suspend accounts that break these rules. Our Privacy Policy explains how we handle your personal information.

Nexteio provides website design and development (custom, WordPress, Laravel, Blogger and e-commerce), Google, Facebook, TikTok and YouTube ad management, SEO, Google AdSense help, and video and video ad editing.

The scope, deliverables, timeline and price of each project are agreed in writing before work begins, through a proposal, quote, order or message. Anything outside that agreed scope, such as new pages, extra features, additional campaigns or more revisions, is new work and may need a separate quote.

• Quotes are valid for 15 days unless the quote says otherwise.
• Work starts after you confirm the order and we receive the agreed advance payment.
• Remaining payments follow the schedule in your proposal or order. Final files, launch or handover may wait until the balance is paid.
• Prices are in Bangladeshi Taka (BDT) unless another currency is agreed in writing.
• Ad budgets for Google, Meta, TikTok and YouTube are paid directly to the ad platform unless agreed otherwise. Our management fee is separate from ad spend.
• Costs from other companies, such as domains, hosting, premium themes, plugins or stock media, are charged at the price agreed in your quote.
• If a payment is late, we may pause work until the account is up to date, and the timeline moves accordingly.

• Give us accurate information, content, logins and approvals on time.
• Make sure you own, or have permission to use, the text, photos, logos, music and other material you send us.
• Make sure your products, services and offers are legal in Bangladesh and allowed under the rules of the platforms we use for you.
• Review drafts, designs and campaigns and reply within a reasonable time.
• Keep your own accounts, passwords and payment methods secure, and change shared passwords once a project ends.
• Keep your own backup copies of important content and files.

We give an estimated timeline for each project and keep you updated through your Nexteio account. Timelines are estimates, not fixed deadlines, unless a fixed date is agreed in writing.

The timeline depends on both sides. If content, feedback, logins or payments arrive late, the delivery date moves by at least the same amount of time. If a project stays on hold for a long time while we wait for you, we may pause it and agree a new schedule with you when you are ready.

Each package includes the number of revision rounds stated in your order. One round means one combined list of changes that you send us together, which we then apply.

Revisions cover changes to the agreed work, such as text edits, colour changes or small layout adjustments. New pages, new features, a different design direction or changes requested after you approve a stage count as new work and may be charged separately. Sending feedback as one clear list helps us finish faster.

Digital results depend on many things outside our control, including competition, your budget, your product and prices, website quality, search engine updates and platform decisions. Because of this, we do not guarantee:

• A specific position in Google search results, or any timeline for reaching it
• Approval of a Google AdSense application, ad account, ad or business verification
• A set number of visitors, leads, sales, views or a fixed return on ad spend

What we do commit to is careful work that follows best practice and platform rules, honest advice and clear reports on what is happening.

After full payment, you own the final deliverables we made specifically for you, such as your website design, the text we write for you and your edited videos. Until full payment, these remain ours.

Items from other companies, such as themes, plugins, fonts, stock photos, music and software licences, stay under their own licence terms. Our own tools, code libraries and working methods that we reuse across projects remain ours, but you get the right to use them as part of your delivered project.

We may show completed work in our portfolio unless you ask us in writing not to.

Much of our work runs on platforms owned by other companies, such as Google, Meta (Facebook and Instagram), TikTok, YouTube, WordPress, hosting providers and domain registrars. Their own terms and policies apply, and they can change them at any time.

These platforms may reject ads, limit reach, suspend ad accounts, disable pages, refuse AdSense approval or remove content based on their own review. We are not responsible for these decisions, for platform outages, or for ad spend lost because of them. If it happens on an account we manage, we will help you understand the reason and prepare an appeal where possible, but we cannot promise the result.

We will not do work that breaks platform rules, such as misleading ads, fake reviews or clicking your own AdSense ads, even if asked.

We keep your business information, logins, customer data and plans confidential and use them only to deliver your project. We do not share them with others except as needed to do the work or as required by law.

In return, please keep our proposals, pricing and working files confidential and do not pass them to other providers.

You can cancel a project at any time by telling us in writing. When you cancel:

• Work already completed and time already spent are payable and not refundable.
• Costs already paid to other companies, such as domains, licences, hosting or ad spend, are not refundable by us.
• If part of your advance covers work we have not started, we will review a fair partial refund case by case.

Because ad results and platform approvals are outside our control, a campaign that performs below expectations or an AdSense application that Google declines is not by itself a reason for a refund.

As far as the law allows, Nexteio is not liable for indirect or consequential losses, such as lost profit, lost data, lost sales or business interruption. Our total liability for any claim is limited to the amount you paid us for the specific service the claim relates to.

Nothing in these terms removes any right you have that cannot be limited under the laws of Bangladesh.

You may end a project or ongoing service by telling us in writing. For monthly services such as ad management or SEO, please give notice before the next billing period starts.

We may stop work or end a project if payments are not made, if we are asked to do something illegal or against platform policies, or if communication with our team becomes abusive. In every case, you pay for work done up to that date, we hand over the finished work you have paid for, and we return or remove any access you gave us.

We may update these terms when our services or the law change. The latest version is always on this page, with the update date shown at the top. Continuing to use our website or services after an update means you accept the new terms. Projects already confirmed continue under the terms agreed when they were ordered, unless both sides agree otherwise.

These terms are governed by the laws of Bangladesh. If a disagreement comes up, we will first try to settle it through honest discussion. If that does not work, it will be handled by the competent courts of Bangladesh.
